• Speed optimization and performance improvements
• Platform migrations to Shopify
• App integrations and custom development
• Ongoing maintenance and support

3. Client Responsibilities

As a client, you agree to:

• Provide accurate and complete information for your project
• Respond to communications in a timely manner
• Provide necessary access to your Shopify store and related accounts
• Review and approve deliverables within agreed timeframes
• Ensure you have the rights to all content you provide to us
• Make payments according to agreed terms

4. Project Terms

Proposals and Agreements

All projects begin with a detailed proposal outlining scope, timeline, and costs. Work commences only after written approval and receipt of required deposits.

Scope Changes

Changes to project scope may affect timeline and cost. All scope changes must be documented and approved in writing before implementation.

Timelines

We commit to meeting agreed deadlines, but timelines may be affected by client response times, scope changes, or unforeseen technical challenges. We will communicate any delays promptly.

5. Payment Terms

• A deposit of 50% is typically required before work begins
• Remaining balance is due upon project completion or as specified in the agreement
• Invoices are payable within 14 days unless otherwise agreed
• Late payments may incur additional fees and project suspension
• All fees are non-refundable once work has commenced

6. Intellectual Property

Client Ownership

Upon full payment, you own all custom code, designs, and content created specifically for your project, unless otherwise stated.

Our Rights

We retain the right to use general techniques, methodologies, and non-proprietary code in future projects. We may showcase completed work in our portfolio unless you request otherwise in writing.

Third-Party Assets

Any third-party themes, apps, or assets used in your project remain subject to their respective license terms.

7. Confidentiality

We respect the confidentiality of your business information. We will not disclose sensitive project details, business strategies, or proprietary information to third parties without your consent.

8. Warranties and Disclaimers

We warrant that our services will be performed professionally and in accordance with industry standards. However:

• We do not guarantee specific business results (sales, traffic, rankings)
• We are not responsible for third-party platform changes or outages
• Services are provided "as is" without additional warranties
• We provide a 30-day bug fix warranty for custom development work

9. Limitation of Liability

To the maximum extent permitted by law, ShopifyForge shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.

Our total liability for any claim arising from our services shall not exceed the amount paid by you for those services in the preceding 12 months.

10. Termination

Either party may terminate the engagement with written notice. Upon termination:

• Payment is due for all work completed to date
• We will deliver all completed work and project files
• Confidentiality obligations continue after termination

11. Dispute Resolution

Any disputes arising from these Terms or our services shall first be addressed through good-faith negotiation. If resolution is not possible, disputes shall be resolved through arbitration in accordance with applicable laws.
